Internship & Scholarship Agreement

Program scope, scholarship terms, income eligibility, confidentiality, and intellectual property for Optimum World Charity internship recipients.

1. The Parties and Term

This Internship and Scholarship Agreement (Agreement) is between Optimum World Charity Inc. (Company) and the selected scholarship recipient identified below (Intern). The internship begins on the Internship Start Date and ends six (6) months later, unless ended earlier under Section 11. The scholarship access period begins on the Internship Start Date and ends at the same time, unless it ends earlier under Section 11.

2. Scope of Services and Remote Work

The Intern will perform educationally supervised operational, administrative, or community-support tasks assigned by the Company that are related to the learning objectives and support needs of the internship. The Company will communicate assigned tasks, a supervisor or point of contact, and applicable deadlines through the Company's designated communication channel.

The Intern will commit at least ten (10) hours per week to internship duties, performed remotely from home or from another location pre-approved by the Company. The Intern and the Company will agree on a reasonable weekly schedule, which may be changed by mutual agreement. The Intern must accurately record internship hours and the completed tasks each week using the Company's designated timekeeping or reporting process.

3. Scholarship Award

The parties intend this to be an educational internship. In connection with the internship, the Company awards the Intern a scholarship covering tuition for the six-month Opti Life Makeover Challenge. The scholarship is not redeemable for cash, has no cash alternative, and is not transferable.

The scholarship provides access to the Challenge during the scholarship access period stated in Section 1, provided the Intern remains in good standing under this Agreement. This Agreement does not waive any rights or obligations that may apply under federal, state, or local law.

4. Income Eligibility Verification

The Intern certifies eligibility for this need-based program by confirming that the Intern's annual household income is below the applicable 2026 Federal Poverty Guideline. The amounts below apply to the 48 contiguous states and the District of Columbia:

• 1 person: $15,960 • 2 people: $21,640 • 3 people: $27,320 • 4 people: $33,000 • 5 people: $38,680 • 6 people: $44,360 • 7 people: $50,040 • 8 people: $55,720

For households exceeding 8 people, add $5,680 for each additional person. Applicants in Alaska or Hawaii are subject to the applicable 2026 federal guideline for that location.

The Intern affirms that financial documents and income statements provided during the application process are accurate and complete. Submission of materially false information may result in removal from the program under Section 11.

5. Performance and Attendance Standards

To remain in good standing and retain scholarship access, the Intern must:

• Reliably complete at least 10 documented internship hours each week unless the Company approves a different schedule in writing. • Maintain active, positive participation and reasonable progress in the Opti Life Makeover Challenge. • Demonstrate professional conduct, timely communication, and alignment with Company values. • Follow reasonable written instructions, policies, and security practices that apply to assigned internship work.

6. Confidentiality

"Confidential Information" means non-public information the Intern receives or accesses through the internship, including proprietary coaching materials, client data, business workflows, credentials, business plans, and non-public marketing information. The Intern may use Confidential Information only as necessary to perform authorized internship duties and may not disclose, copy, publish, or use it for any other purpose.

Confidential Information does not include information the Intern can demonstrate: (a) became public through no breach of this Agreement; (b) was already lawfully known to the Intern without a duty of confidentiality; (c) was lawfully received from a third party without a duty of confidentiality; or (d) was independently developed without using Confidential Information.

The confidentiality obligations continue during the internship and for ten (10) years after it ends; however, the Intern must protect trade secrets for as long as they remain trade secrets under applicable law. Upon request or when the internship ends, the Intern will promptly return or permanently delete Company Confidential Information, except for one copy retained only if required by law.

7. Intellectual Property

"Work Product" means original systems, marketing materials, copywriting, designs, reports, documents, content, code, and other tangible or intangible materials that the Intern creates alone or with others specifically in performing assigned internship duties or using Company Confidential Information.

To the extent permitted by applicable law, the Intern assigns to the Company all right, title, and interest in Work Product. The Intern will cooperate, at the Company's expense, to confirm or document that ownership. The Intern retains ownership of pre-existing materials, but grants the Company a perpetual, non-exclusive, worldwide, royalty-free license to use any pre-existing materials incorporated into Work Product as needed to use the Work Product.

8. Legal Status

The parties intend an educational internship relationship. The Intern is not eligible for Company employee benefits, healthcare, or unemployment compensation by virtue of this Agreement. The actual legal classification of the relationship and any rights or obligations under applicable law are determined by the facts and law that apply, not solely by the labels used in this Agreement.

9. Additional Income and Activities

The Intern may, at the Intern's discretion, apply for and earn income as a Marketing Ambassador or Affiliate, or participate in other paid or unpaid work, provided the activity does not interfere with internship performance, use Company Confidential Information, create a conflict of interest, or undermine the Company.

10. Terms of Use and Privacy Policy

This Agreement is made in addition to the Company's Terms of Use and Privacy Policy posted on the Company's website, each as in effect on the Effective Date. If there is a conflict between this Agreement and those documents concerning the internship or scholarship, this Agreement controls.

11. Termination and Scholarship Revocation

Either party may terminate this Agreement by giving seven (7) days' written notice to the other party. Upon ordinary termination, the Intern's scholarship access will continue through the end of the seven-day notice period and then end, unless the Company confirms in writing that access will continue. The Company will not provide a cash payment or substitute benefit for unused scholarship access.

The Company may terminate this Agreement immediately and revoke scholarship access if the Intern materially fails to meet the 10-hour weekly commitment without Company approval, submits fraudulent income information, materially breaches confidentiality, materially misuses Company property or Work Product, or engages in serious misconduct.
